Software License Ageement
This Software License Agreement ("Agreement") is entered into by and between MCR::Nigel Designs, with its principal place of business at https://www.nigelmopenshaw.com ("Licensor"), and the end-user ("Licensee") of the software application.
1. DEFINITIONS
1.1 "Software" refers to the computer program developed by MCR::Nigel Designs.
1.2 "License" refers to the right granted by MCR::Nigel Designs to Licensee to use the Software according to the terms and conditions outlined in this Agreement.
2. LICENSE GRANT
Subject to the terms and conditions of this Agreement, MCR::Nigel Designs now grants Licensee a non-exclusive, perpetual, non-transferable license to use the Software.
3. LICENSE RESTRICTIONS
3.1 Licensee shall not distribute, sublicense, lease, rent, sell, or otherwise transfer the Software or any portion of it to any third party without prior written consent from MCR::Nigel Designs.
3.2 Licensee shall not modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except as permitted by applicable law.
3.3 Licensee shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Software.
4. INTELLECTUAL PROPERTY
4.1 Licensee acknowledges that the Software and any related documentation contain proprietary information and are protected by intellectual property laws and treaties.
4.2 All rights, title, and interest in and to the Software, including any intellectual property rights, remain with MCR::Nigel Designs.
5. WARRANTY DISCLAIMER
The Software is provided "as is" without any warranty, express or implied. MCR::Nigel Designs does not warrant that the Software will be error-free or meet Licensee's requirements.
6. LIMITATION OF LIABILITY
In no event shall MCR::Nigel Designs be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use or inability to use the Software even if advised of the possibility of such damages.
7. TERMINATION
MCR::Nigel Designs may terminate this License at any time if Licensee breaches any of the terms and conditions of this Agreement. Upon termination, Licensee shall immediately cease all use of the Software and destroy all copies of the Software in its possession or control.
8. GOVERNING LAW
This Agreement shall be governed by and construed under standard laws without regard to its conflict of laws principles.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof. It supersedes all prior and contemporaneous agreements, whether oral or written.
IN WITNESS of which, the parties hereto have executed this Software License Agreement as of the date first above written.

All development by MCR::Nigel Designs is provided "as is" without any warranties, express or implied. MCR::Nigel Designs makes no representations or warranties concerning the completeness, accuracy, reliability, suitability, or availability of the books' content or the Apps' functionality.
Information and Content
In no event shall MCR::Nigel Designs be liable for any direct, indirect, special, incidental, consequential, or punitive damages arising out of the educational purposes and uses of the books or the Apps. The user is responsible for evaluating the accuracy, completeness, or usefulness of any information in the books or the Apps.
