This End-User License Agreement ("EULA") is a legal agreement between you (the "End User") and MCR::Nigel Designs ("Developer") for the use of the software application ("Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this agreement, do not install or use the Software.
1. License Grant
Subject to the terms and conditions of this EULA, Developer grants you a non-exclusive, non-transferable, limited license to use the Software for personal or commercial purposes under the terms and conditions set forth herein.
2. Intellectual Property Rights
The Software, including all related intellectual property rights, is and shall remain the sole property of the Developer. This EULA does not grant you any ownership rights to the Software.
3. Permitted Use and Restrictions
a) Permitted Use: You may use the Software on the number of devices and within the scope specified in the license you have obtained, whether a single-user license or a multi-user license.
b) Prohibited Actions: You may not, without the prior written consent of the Developer:
- Copy, modify, adapt, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or attempt to derive the Software's source code.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices from the Software.
- Rent, lease, lend, sublicense, distribute, or otherwise transfer the Software to any third party.
4. Support and Updates
Developers may provide support and updates for the Software at their discretion. Any updates provided by Developer are subject to the terms of this EULA.
5. Warranty Disclaimer
The Software is provided "as is" without any warranty. The Developer disclaims all warranties, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
In no event shall Developer be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising in any way out of the use, inability to use, or performance of the Software, even if Developer has been advised of the possibility of such damages.
7. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term(s) of this EULA. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
8. Governing Law and Jurisdiction
This EULA shall be governed by and construed by the standard laws without regard to its conflicts of law principles. Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts.
9. Entire Agreement
This EULA constitutes the entire agreement between the parties concerning the subject matter. It supersedes all prior and contemporaneous agreements, whether oral or written.
